Flowhue Universal License Agreement

Effective Date: May 1, 2025

This License Agreement (“Agreement”) is issued by Flow Hue Digital Media Ltd. (“Flowhue”, “we”, “our”, or “us”), the owner and operator of https://flowhue.art (“Website”). It governs the terms under which purchasers (“you”, “Licensee”) may use digital artwork licensed from Flowhue.

By purchasing, downloading, or using any image, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.

1. Grant of License

Upon full payment, Flowhue grants you a non‑exclusive, perpetual, worldwide, royalty‑free license to use the licensed image (“Content”) for both personal and commercial purposes, subject to the limitations below. This license is granted to you as an individual or to a single organization, including its employees and contractors working on its behalf.

This license allows you to:

Use the Content in digital or print materials for yourself or your organization, including websites, social media, advertisements, presentations, packaging, and printed media;
Incorporate the Content into products or merchandise for resale (e.g., apparel, posters, stationery, home décor), provided the Content is not distributed or resold as a standalone file;
Modify, crop, or otherwise adapt the Content to fit your creative or commercial needs;
Use the Content in perpetuity without additional fees or renewals.

2. Prohibited Uses

You may not:

Redistribute, resell, or sublicense the Content in any manner that allows others to download, extract, or access it as a standalone file or asset;
Use the Content in any way that suggests endorsement or affiliation by Flowhue or any depicted subject;
Use the Content as part of a trademark, logo, or service mark without obtaining prior written consent from Flowhue;
Use the Content in any defamatory, pornographic, hateful, or otherwise unlawful context;
Train, fine‑tune, or incorporate the Content into any machine learning, AI, or generative model without prior written authorization;
Claim authorship of the original Content or misrepresent it as your own creation;
Use the Content in a way that competes directly with Flowhue (e.g., as part of another stock image, wallpaper, or NFT marketplace);
Mint the Content as non‑fungible tokens (NFTs) or list it on any NFT, crypto, or similar digital-asset marketplace.

3. Ownership and Intellectual Property

All Content remains the exclusive property of Flow Hue Digital Media Ltd. and its licensors. You are purchasing a license to use the Content — not ownership of the Content itself.

Flowhue retains all copyright and intellectual property rights. Unauthorized use or resale constitutes copyright infringement and may result in legal action.

4. Attribution

Attribution is not required for commercial use but is appreciated where feasible (e.g., “Image courtesy of Flowhue.art”).

5. Term, Termination, and Revocation

This license is perpetual, beginning on the date of purchase. Flowhue may revoke the license if you breach this Agreement or engage in fraudulent, abusive, or unlawful activity.
Upon termination, you must immediately cease use of the Content and destroy any copies within your control.

6. Warranty Disclaimer

All Content is provided “as is” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non‑infringement.
While Flowhue takes care to ensure originality and lawful creation of AI‑assisted artworks, no representation is made that Content will meet your specific requirements or that use will be uninterrupted or error‑free.

7. Limitation of Liability

To the maximum extent permitted by law, Flowhue and its affiliates shall not be liable for any indirect, incidental, consequential, or special damages arising from your use or inability to use the Content, even if advised of the possibility of such damages.
In no event shall Flowhue’s total liability exceed the amount paid by you for the specific Content giving rise to the claim.

8. Indemnification

You agree to indemnify and hold harmless Flow Hue Digital Media Ltd., its directors, officers, and employees from any claim, loss, or expense (including reasonable legal fees) arising out of your breach of this Agreement or misuse of the Content.

9. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to conflict of law principles. You agree that any dispute arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in the Province of British Columbia, Canada.
